Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and Upatr AG, Switzerland (“Upatr”, “we”), and govern your access to and use of Upatr's websites, products and services — including Atlas, Meridian and related tools (together, the “Services”). By creating an account, signing in, subscribing or using the Services, you accept these Terms. If you do not accept them, you may not pay for or use the Services.
1. Provider and scope
The Services are provided by Upatr AG, a company incorporated under Swiss law. These Terms apply to every part of the Services: free features, paid subscriptions and the tools made available to subscribers. Separate terms communicated for specific offerings apply in addition.
2. Language versions
These Terms are published in English, German, French and Italian. All language versions constitute one and the same agreement, and accepting the Terms in any one language constitutes acceptance of all language versions. If the versions diverge, the German version prevails.
3. Your account
You must provide accurate information when creating an account, keep your sign-in credentials confidential and update your details when they change. You are responsible for activity that occurs under your account. We may refuse, suspend or close accounts that violate these Terms or applicable law.
4. Subscriptions and payment
Paid features are billed as described on the pricing pages at the time of purchase, including any minimum terms and renewal periods. Subscriptions renew automatically for the stated period until cancelled; cancelling stops future renewals, and access continues to the end of the period already paid. Unless mandatory law provides otherwise, payments are non-refundable.
5. Changes to the Services and pricing
Upatr may change, add, suspend or discontinue any part of the Services — including features, tools, data sources, availability and prices — at any time and at its own discretion. Price changes apply to a running subscription from its next renewal at the earliest; other changes may take effect immediately. Where reasonably possible, we announce material changes in advance.
6. No guarantee of results
The Services process data from public, official and third-party sources and generate search results, analyses, scores and AI-assisted answers. All results are provided for information purposes only. Upatr does not warrant that any result is accurate, complete, current or fit for a particular purpose; results — including AI-generated content — can be wrong, outdated or incomplete. You must verify results independently before relying on them.
7. No professional advice
The Services do not provide legal, tax, financial, planning, construction or investment advice. Results do not replace professional advice, official extracts from public registers, or confirmation by the competent authorities. Decisions you take on the basis of the Services are your own responsibility.
8. Acceptable use
You may use the Services only lawfully and within the agreed scope. In particular, you must not attempt to gain unauthorised access, interfere with operation, circumvent access or usage limits, systematically scrape or bulk-extract data, reverse engineer the Services, or resell or sublicense them without Upatr's written consent.
9. Intellectual property
The Services — including software, design, databases and content — are protected by law and remain the property of Upatr or its licensors. You receive a limited, non-exclusive, non-transferable right to use the Services for their intended purpose for the duration of your agreement. Content and data you submit remain yours; you grant Upatr the rights required to operate the Services.
10. Third-party services and data
The Services rely on services and data of third parties, such as map providers and public geodata. Upatr does not control their availability, quality or licensing, and additional third-party terms may apply. Upatr may replace or remove third-party components at any time.
11. Availability
Upatr aims for high availability but does not warrant that the Services will be uninterrupted, error-free or permanently available. Availability may be temporarily limited, for example for maintenance, security or capacity reasons.
12. Limitation of liability
To the maximum extent permitted by applicable law, Upatr AG and its governing bodies, employees, contractors and agents are not liable for any damage arising from the use of, or inability to use, the Services — in particular not for decisions taken in reliance on results, indirect or consequential damage, lost profits, or loss of data. To the extent permitted by law, no employee of Upatr is personally liable to you for the results the tools produce. In all other cases, Upatr's total liability is limited to the fees you paid for the Services in the twelve months preceding the event giving rise to the claim. Liability that cannot be excluded or limited under mandatory law — such as for unlawful intent or gross negligence — remains unaffected.
13. Indemnification
You will indemnify Upatr and its employees against third-party claims, and the reasonable costs of defending them, that arise from your unlawful use of the Services or from your breach of these Terms.
14. Data protection
Upatr processes personal data in accordance with applicable Swiss data protection law, to operate, secure, improve and bill the Services. Upatr does not sell your personal data.
15. Use of data
Upatr may use data collected in connection with your use of the Services — including content and data you submit, queries, and usage and interaction data — to operate, analyse, develop and improve its services and products. You grant Upatr a comprehensive, non-exclusive, worldwide, royalty-free right to use such data for these purposes. Mandatory data-protection law remains reserved.
16. Suspension and termination
Upatr may suspend or terminate access to the Services, in whole or in part, if you breach these Terms, if the law requires it, or where this is necessary to protect the Services, their users or third parties. You may stop using the Services at any time and cancel subscriptions as described in your account.
17. Changes to these Terms
Upatr may amend these Terms. The version published on this page applies. For material changes, we will ask for your renewed acceptance when you next sign in, or notify you in another appropriate way; continued use after a change takes effect constitutes acceptance.
18. Final provisions
If a provision of these Terms is or becomes invalid, the remaining provisions stay in force. Not enforcing a provision is not a waiver of it. These Terms are governed by Swiss substantive law, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is the registered seat of Upatr AG; mandatory statutory jurisdictions remain reserved.
19. Data sources and coverage
The Services incorporate data from official Swiss federal and cantonal sources — including statistical, topographical, spatial-planning, energy and cadastral authorities — as well as licensed third-party map providers. The attribution and coverage notices published on the relevant product pages (including which cantons and data categories are currently available) form an integral part of these Terms, as amended from time to time. Data availability varies by canton and by data category and may change with new deliveries; the Services may not reflect the most recent official records. Official registers and cantonal publications remain the sole authoritative sources; no warranty is given as to the completeness, accuracy or timeliness of third-party data.
